The Contracts Administrator (CA) manages every phase of a contract from inception to closeout:
Pre-award: Drafting, template development, scope definition, and pre-negotiation research
Award: Coordinating execution, signature collection, and counterparty verification
Post-award: Monitoring obligations, deliverables, milestones, and payment schedules
Closeout/Renewal: Expiration tracking, renewal negotiations, termination procedures, and archiving
2. Drafting & Document Preparation
Preparing contract templates tailored to the client's industry and transaction types
Drafting amendments, addenda, change orders, and extensions
Ensuring plain-language clarity for non-legal small business owners
Standardizing boilerplate language (indemnification, limitation of liability, governing law, dispute resolution)
3. Review & Risk Flagging
Reviewing incoming third-party contracts for unfavorable terms
Identifying ambiguous language, missing clauses, or one-sided obligations
Flagging risks related to:
Auto-renewal traps
Unreasonable liability exposure
IP ownership issues
Non-compete / non-solicitation conflicts
Payment and penalty terms
Note: The CA flags risk and summarizes issues — a licensed attorney makes legal determinations
4. Compliance Monitoring
Tracking regulatory and contractual compliance deadlines
Ensuring contracts align with applicable law (state, federal, international where relevant)
Monitoring insurance certificate requirements, licensing obligations, and reporting duties
Coordinating with the client's attorney when compliance issues arise
5. Deadline & Obligation Tracking
Maintaining a master contract register with:
Start/end dates
Renewal windows
Notice periods (especially termination notice clauses)
Payment milestones
Deliverable due dates
Proactively alerting clients to upcoming deadlines — typically 30/60/90-day advance notices
6. Negotiation Support
Preparing redlines and markup of counterparty drafts
Researching market-standard terms for comparison
Documenting negotiation history and version control
Coordinating positions between client stakeholders and the other party
Escalating to legal counsel when negotiation involves material legal risk
7. Vendor & Counterparty Management
Maintaining counterparty contact records and relationship history
Coordinating certificate of insurance (COI) collection and verification
Managing subcontractor and vendor agreement repositories
Tracking performance against SLAs and contract KPIs
8. Record Keeping & Repository Management
Maintaining a centralized, organized, and searchable contract library
Ensuring executed originals are stored securely with backup
Version controlling all drafts and amendments
Providing audit-ready documentation trails
9. Dispute Prevention & Early Warning
Identifying early signs of contract non-performance by either party
Documenting communications related to potential disputes
Preparing cure notices, reservation of rights letters, and default documentation
Coordinating with legal counsel before disputes escalate to litigation
10. Reporting to the Client
Delivering regular contract status reports covering:
Active contracts summary
Upcoming renewals and expirations
Obligations due
Risk items requiring client decision
Cost/savings analysis of contract terms where applicable
